Acceptance of Terms

By downloading, installing, or using 8Rings (formerly HeyRings and EightRings Pro) or a standalone Calendar, Lists, Notes, Habits, Health, Timers, or Pounds edition (each, "the App") — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

The App is developed and operated by OctiCorp ("we," "us," or "our"). These Terms constitute a legally binding agreement between you and OctiCorp.

You must be at least 13 years of age to use the App. By using the App, you represent that you meet this age requirement.

The app

8Rings is a unified iPhone app for contextual voice recording, transcription, summaries, lists, calendar events, notes, timers, habits, weight check-ins, and a Today overview. Its Apple Watch companion captures events, lists, and notes. The unified app requires iOS 26 or later; the optional companion requires watchOS 26 or later and a paired iPhone. Microphone and speech-recognition permissions are needed for applicable voice features.

AI features depend on compatible hardware, languages, settings, and model availability. General speech transcription may use Apple services. The separate Health edition uses cloud AI services; it is not part of the unified 8Rings app.

We reserve the right to modify, suspend, or discontinue any aspect of the App at any time. We will endeavor to provide reasonable notice of significant changes.

Trial and standalone purchases

8Rings (version 1.03 and later) provides a 30-day trial for new users, beginning on first launch. Continued full access after the trial requires an active paid subscription. The trial is managed by the app and does not automatically create a paid subscription; you must confirm an App Store purchase to subscribe.

The trial is available once per user. Reinstalling the app to obtain additional trial periods is a violation of these Terms.

Standalone editions are separate products with their own purchase terms, shown by Apple before purchase. Standalone purchases and saved data do not automatically transfer to the unified 8Rings app. Pounds within 8Rings uses the same trial and subscription as the rest of the unified app, not the standalone Pounds lifetime unlock.

Subscriptions and billing

The unified app offers monthly and annual auto-renewing subscriptions through Apple’s App Store. The app displays the local price, billing period, and purchase terms before you confirm. A subscription provides access across the unified app, including Pounds, Timers, and Habits.

Billing

• All subscriptions are processed by Apple through the App Store
• Payment is charged to your Apple ID at confirmation of purchase
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Your account is charged for renewal within 24 hours prior to the end of the current period
• Prices may vary by country and are subject to change with notice

What is included

• Contextual voice recordings, transcripts, and supported AI summaries
• Lists, Calendar, Notes, Today, Timers, Habits, Pounds, and the Recordings library
• Apple Watch Event, List, and Note capture with a paired iPhone

Feature availability depends on the installed version, compatible device, and any applicable permissions and Apple Intelligence requirements.

Cancellation & Refunds

Cancellation

You may cancel your subscription at any time through the App Store:

• On your iPhone: Settings → [Your Name] → Subscriptions
• On your Mac: App Store → Account → Subscriptions

Cancellation takes effect at the end of the current billing period. You retain full access to premium features until the period ends. We do not offer partial-period refunds directly — all refund requests are handled by Apple.

Refunds

Refund requests are managed exclusively by Apple. To request a refund, visit reportaproblem.apple.com or contact Apple Support. OctiCorp does not process refunds independently.

Acceptable Use

You agree to use 8Rings only for lawful purposes and in accordance with these Terms. You must not:

• Record conversations without the knowledge or consent of participants, where required by applicable law
• Use the App to store or transmit illegal, harmful, or infringing content
• Attempt to reverse engineer, decompile, or extract the App's source code
• Circumvent, disable, or interfere with security features of the App
• Use automated tools to access or interact with the App in an unauthorized manner
• Share, resell, or sublicense access to the App

We reserve the right to terminate your access to the App if we determine, in our sole discretion, that you have violated these Terms.

Intellectual Property

OctiCorp's IP

The App, including its design, code, graphics, and brand identity, is owned by OctiCorp and protected by intellectual property laws. These Terms do not grant you any ownership rights in the App.

Your content

You retain full ownership of all content you create within the App — including your recordings, transcriptions, summaries, notes, lists, and habit data. OctiCorp makes no claim to any content you create.

Your content is stored locally on your device, and Health requests are processed without storing your conversations or health data — we do not use your content for any purpose beyond providing the service you requested.

Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it carefully — the short version: no ads, no tracking; your content stays on your device, and Health's cloud AI does not store your data.

Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, either express or implied. OctiCorp expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The App will be uninterrupted, error-free, or free of bugs
• AI transcription and summaries will be accurate or complete
• The App will be compatible with all devices or operating system versions
• Any defects in the App will be corrected

AI-generated content (transcriptions, summaries, Smart AI Actions, and Health coaching responses) may contain errors. Health's AI coach is not a medical professional and its output is not medical advice. You should not rely on AI-generated output for critical decisions without independent verification.

Limitation of Liability

To the fullest extent permitted by applicable law, OctiCorp and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or loss of goodwill, arising from your use of or inability to use the App.

Our total liability to you for any claim arising out of or relating to these Terms or the App shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration or in a court of competent jurisdiction, as applicable under local law.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by providing in-app notice.

Your continued use of the App after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the App.
